By engaging our services or using our website, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. 1. Acceptance and Agreement

By accessing this website, requesting a quote, or booking our cleaning services, you enter into a legally binding agreement with CleanPro Solutions. This agreement constitutes the entire understanding between you and CleanPro Solutions regarding the subject matter herein.

Binding Nature

These Terms and Conditions are binding upon acceptance and remain in effect for the duration of your relationship with CleanPro Solutions. If you do not agree with any part of these terms, you should not use our services or website.

Capacity to Contract

You represent and warrant that you have the legal capacity to enter into this agreement. If you are entering into this agreement on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

Amendments

We reserve the right to modify these Terms and Conditions at any time. Changes will be effective upon posting to our website. Your continued use of our services after such modifications constitutes acceptance of the updated terms.

2. User Obligations and Responsibilities

As a user of our services, you accept certain obligations and responsibilities to ensure a successful and safe service delivery:

2.1 Accurate Information

You must provide truthful, complete, and accurate information when booking services or communicating with us. This includes but is not limited to contact details, property information, access instructions, and any special requirements or hazards present at the service location.

2.2 Property Preparation

You are responsible for preparing the property prior to service delivery. This includes securing valuables, removing fragile items from work areas, ensuring clear access to spaces requiring cleaning, and disclosing any potential hazards or special considerations.

2.3 Lawful Use

You agree to use our services only for lawful purposes and in compliance with all applicable local, provincial, and national laws and regulations. You may not request services that would require our staff to engage in illegal activities or violate any laws.

2.4 Payment Obligations

You agree to pay for services rendered according to the agreed-upon pricing and payment terms. Payment must be made in full upon completion of services unless alternative arrangements have been made in writing. Late payments may result in service suspension and additional fees.

2.5 Conduct Requirements

You agree to treat our staff with respect and professionalism at all times. Harassment, discrimination, threats, or abusive behavior toward our team members will result in immediate termination of services without refund.

2.6 Compliance with Laws

You agree to comply with all applicable laws, regulations, building codes, and homeowner association rules related to the services being provided. You are responsible for obtaining any necessary permissions or approvals from third parties.

3. Indemnification

You agree to indemnify, defend, and hold harmless CleanPro Solutions, its officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:

  • Your violation of these Terms and Conditions

  • Your violation of any applicable laws or regulations

  • Your violation of any third-party rights, including intellectual property or privacy rights

  • Injuries or damages that occur due to undisclosed hazards at the service location

  • Any disputes arising from your use of our services

This indemnification obligation will survive the termination of your relationship with CleanPro Solutions and continues to apply to any claims arising from actions taken during the period of service.

4. Disclaimer of Warranties and Limitation of Liability

4.1 Service Disclaimer

While we strive to provide high-quality cleaning services, CleanPro Solutions makes no warranties or representations about the services provided, whether express or implied. Our services are provided on an "as is" and "as available" basis.

We disclaim all warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that our services will meet your specific requirements, that results will match your expectations, or that services will be uninterrupted or error-free.

4.2 Limitation of Liability

To the fullest extent permitted by applicable law, CleanPro Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

    Your use of or inability to use our services

    Any conduct or content of third parties related to the services

    Unauthorized access to or alteration of your data

  • -

    Any other matter relating to the services

4.3 Damage Liability Cap

In no event shall CleanPro Solutions' total liability to you for all damages, losses, and causes of action exceed the amount you paid to CleanPro Solutions for services in the three months preceding the incident giving rise to the claim, or R1,000, whichever is greater.

4.4 Property Damage

While we exercise reasonable care in providing our services, CleanPro Solutions is not liable for damage to items that were not disclosed as requiring special care, damage resulting from pre-existing conditions, or damage to items that should have been removed from the work area prior to service. We maintain insurance coverage for damages that occur as a direct result of our negligence.

4.5 Force Majeure

CleanPro Solutions shall not be held liable for any failure or delay in performing obligations under these Terms and Conditions when such failure or delay is due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, government actions, labor disputes, equipment failures, or public health emergencies.

5. Governing Law and Jurisdiction

Applicable Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms and Conditions will be brought exclusively in the courts located in Johannesburg, South Africa.

Jurisdiction and Venue

You hereby consent to the exclusive jurisdiction and venue of courts in Johannesburg, South Africa in all disputes arising out of or relating to the use of our services. You waive any objection to jurisdiction and venue in such courts.

Compliance with Local Laws

If you access our services from outside South Africa, you are responsible for compliance with local laws in your jurisdiction. We make no representation that our services are appropriate or available for use in other locations.

6. Dispute Resolution Procedures

We are committed to resolving disputes fairly and efficiently. The following procedures apply to any dispute, claim, or controversy arising from these Terms and Conditions or the services provided:

Step 1: Direct Communication

Before initiating formal dispute resolution procedures, you agree to first contact us directly to attempt to resolve the matter informally. Many disputes can be resolved quickly through direct communication. Please provide a detailed description of the issue and your desired resolution.

Step 2: Negotiation Period

If direct communication does not resolve the dispute within 14 days, both parties agree to engage in good faith negotiations for an additional 30 days. During this period, both parties will work cooperatively to reach a mutually acceptable resolution.

Step 3: Mediation

If negotiations fail to resolve the dispute, both parties agree to attempt resolution through mediation before a mutually agreed-upon mediator. The costs of mediation will be shared equally between the parties unless otherwise agreed.

Step 4: Legal Action

Only after exhausting the above steps may either party pursue legal action. Any legal proceedings must be filed within one year of the date the dispute first arose, or such claim will be permanently barred.

7. Severability and Waiver

Severability Clause

If any provision of these Terms and Conditions is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions. The unenforceable provision will be replaced with an enforceable provision that most closely matches the intent of the original provision.

Waiver

Our failure to enforce any right or provision of these Terms and Conditions will not be considered a waiver of those rights. Any waiver of any provision will be effective only if in writing and signed by CleanPro Solutions. No waiver of any breach of these Terms and Conditions shall constitute a waiver of any other or subsequent breach.

Entire Agreement

These Terms and Conditions, together with our Privacy Policy and any written service agreements, constitute the entire agreement between you and CleanPro Solutions regarding the subject matter herein. They supersede all prior or contemporaneous communications and proposals, whether oral or written.

8. Modification of Terms

We reserve the right to modify or replace these Terms and Conditions at any time at our sole discretion. If a revision is material, we will make reasonable efforts to provide notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our services after modifications become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using our services. We recommend reviewing these Terms and Conditions periodically for changes.
